The Council of the European Union adopted its negotiating position on EU Inc on 23 October. The proposed corporate framework is intended to make it easier for innovative companies to establish themselves and expand across national borders.

The initiative would create an optional European regime alongside the company laws of the 27 member states. The Council describes a digital registration process taking at most two days and costing no more than €100, together with provisions intended to make employee stock options easier to use.

This is a position for legislative negotiations, rather than the launch of an incorporation service. Businesses cannot assume the proposed deadlines, fees or arrangements are already available. The agreed rules and their application will depend on the remaining legislative process.

Context

The practical test will be whether a shared framework reduces the friction of operating in several national markets.
